Terms & Conditions

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Global Eagle (Pty) Ltd (“we”, “us”, or “our”), concerning your access to and use of the EagleSpherestreaming platform, including our website, mobile application, and any other media channel associated, linked, or otherwise connected thereto (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms & Conditions. If you do not agree with all of these Terms & Conditions, then you are expressly prohibited from using the Service, and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms & Conditions at any time and for any reason.

To stream content or submit films on EagleSphere, you may be required to register a user account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your registration details to keep them accurate and complete.
• Maintain the confidentiality of your account password and restrict access to your account.
• Accept responsibility for all activities that occur under your account.

Age Requirements:The Service is intended for users who are at least 18 years of age. Individuals under 18 (“Minors”) may only use the Service under the direct supervision of a parent or legal guardian who possesses an active account. If you are a parent or guardian permitting a minor to use the Service, you agree to stand bound by these Terms and supervise all viewing activity.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service and stream video and audio content solely for your personal, non-commercial, and family-oriented entertainment.

License Restrictions:

You expressly agree that you will not:

• Download, capture, rip, copy, or record any video, audio, or metadata stream from the platform. The platform is designed strictly for streaming; offline downloads are currently unsupported and prohibited.
• Distribute, broadcast, publicly perform, lease, sell, or exploit any content displayed on the Service.
• Bypass, modify, defeat, or circumvent any content protection, digital rights management (DRM), or geo-blocking technologies employed on the platform.
• Decompile, reverse engineer, or disassemble any software program forming part of the Service.

EagleSphere allows ministries, churches, and independent filmmakers to submit faith-based films, series, documentaries, and sermon files (“User Content”) for streaming distribution.

A. License Grant to EagleSphere: By submitting your content (including trailers, cover art, and descriptions), you grant EagleSphere (Pty) Ltd a non-exclusive, worldwide, royalty-free (subject to separate bilateral commercial terms, if any), sub-licensable license to host, transcode, stream, distribute, index, and publicly display your content on our digital applications. You retain full copyright ownership of your original video files.

B. Representations and Warranties: You declare and warrant that:

• You hold all necessary copyrights, performance rights, mechanical rights, and licensing clearances to upload and stream the content.
• Your submitted content does not violate or infringe upon the intellectual property, privacy, or publicity rights of any third party.
• Your content complies with South African laws, including censorship classifications where applicable.

C. Content Guidelines & Discretion: All submissions must conform to our community faith-based guidelines. We reserve the absolute right, but do not assume the obligation, to screen, review, edit, reject, suspend, or permanently remove any submitted content from the platform at any time, for any reason, without notice.

Currently, the EagleSphere app is free to access for viewers. To support our infrastructure and support independent creators, the platform may include advertisement models, contextual sponsorships, and promotion panels.

• You agree to receive contextual advertisements and sponsored messages while using the Service.
• Commercial monetization agreements with content partners (churches, creators) regarding ad-revenue sharing, premium tiers, or sponsorships are governed by separate, legally-binding written contracts. In the event of a conflict, the terms of the specific bilateral partner contract will supersede these general terms.

Unless otherwise indicated, the Service is our proprietary property. This includes the source code, databases, website layouts, application features, user interface designs, logo graphics, software, and brand trademarks (“Global Sphere”, “Global Eagle”).

These elements are protected by copyright, trademark, and other intellectual property laws of South Africa, international conventions, and foreign jurisdictions. No part of our code or brand assets may be copied, reproduced, aggregated, republished, uploaded, publicly displayed, encoded, translated, or transmitted to any other computer, server, website, or medium for distribution or commercial enterprise without our prior written consent.

You agree to use EagleSphere strictly for lawful purposes and in a manner that does not restrict or inhibit the use and enjoyment of the Service by others. Prohibited activities include:

• Using spiders, robots, scrapers, data miners, or other automated tools to extract database details, contact lists, or media files.
• Attempting to probe, scan, or test the vulnerability of our servers, networks, or application endpoints.
• Uploading files containing viruses, Trojans, worms, logic bombs, or other malicious code.
• Engaging in any conduct that compromises the integrity or performance of our video streaming delivery network.
• Using the app for harassing, defamatory, or unlawful purposes.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. GLOBAL EAGLE (PTY) LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no guarantees or representation that:

• The Service will be uninterrupted, secure, error-free, or free of system lag or downtime.
• The quality of any video stream will meet your device capabilities or internet connection capacities at all times.
• Any content displayed is completely accurate, up-to-date, or suitable for your specific theological views.

TO THE MAXIMUM EXTENT PERMITTED BY LAW (INCLUDING THE SOUTH AFRICAN CONSUMER PROTECTION ACT, NO. 68 OF 2008), IN NO EVENT WILL GLOBAL EAGLE (PTY) LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless Global Eagle (Pty) Ltd, its subsidiaries, partners, and respective officers, agents, and employees, from and against any loss, damage, liability, claim, or demand (including reasonable legal fees), made by any third party due to or arising out of:

• Your submitted content (sermons, films, trailers).
• Your breach of these Terms & Conditions.
• Your violation of the rights of a third party, including copyright infringement.
• Any overt harmful act toward any other user of the Service with whom you connected via the Service.

We reserve the right to suspend or terminate your account and restrict your access to the Service, in our sole discretion and without notice, if we believe you have violated these Terms & Conditions, engaged in illegal or fraudulent behavior, or harmed other users or the platform's commercial operations.

Upon termination of your account, your right to use the Service ceases immediately. You may request account deletion at any time by contacting our support team.

These Terms & Conditions and your use of the Service are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these terms, including its validity, invalidity, breach, or termination, shall be resolved through negotiation first. If negotiation fails, the parties submit to the exclusive jurisdiction of the courts of South Africa, with legal proceedings to take place in Johannesburg.
